Terms of Service

1 Agreement to Terms

These Terms constitute a legally binding agreement between you ("you" or "Client") and ECOM3 BRANDS, LLC, operating under the trade name AI-Voicelabs. "You" refers to any individual who visits our website, and/or any business or entity that engages AI-Voicelabs to provide voice agent services.

For clients engaging our voice agent services, these Terms apply alongside any separate written Service Agreement or Statement of Work ("SOW") you enter into with us. In the event of a conflict between these Terms and a signed SOW, the SOW controls.

2 Our Services

AI-Voicelabs designs, builds, and deploys AI-powered voice agents for small businesses. Our services may include:

• Custom AI voice agent development and configuration
• Integration with your existing phone systems, CRM, or scheduling tools
• Ongoing maintenance, updates, and performance monitoring
• Consultation on AI voice strategy and use cases

The specific scope of services provided to you will be defined in your individual Service Agreement or SOW. We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice to affected clients.

3 Client Agreements & Fees

Service fees: The monthly fee for your AI voice agent service is established at the time you enter into a Service Agreement with AI-Voicelabs. Fees are determined on a per-client basis based on your specific requirements, call volume, integrations, and scope of service.

Billing: Fees are billed on a monthly recurring basis, beginning on the date your service goes live or as otherwise specified in your Service Agreement. Invoices are due upon receipt unless otherwise agreed in writing.

Fee changes: We may adjust your monthly fee by providing at least 30 days' written notice. If you do not agree to a fee increase, you may cancel before the new fee takes effect in accordance with Section 4.

Late payments: Accounts that are more than 15 days past due may result in suspension of your voice agent service. We reserve the right to charge a late fee of 1.5% per month on overdue balances, or the maximum permitted by applicable law.

Taxes: You are responsible for all applicable taxes, duties, and levies arising from your purchase of our services, except taxes on AI-Voicelabs' net income.

4 Cancellation & Termination

How to cancel: To cancel, send a written cancellation request to hello@ai-voicelabs.com. Cancellations take effect at the end of the current billing period. You will not be charged for the following month.

No prorated refunds: We do not provide prorated refunds for partial months of service already billed. Your service will remain active through the end of the paid billing period.

Termination by AI-Voicelabs: We may terminate or suspend your service immediately, with or without notice, if you:

• Violate any provision of these Terms
• Use our services for unlawful, harmful, or fraudulent purposes
• Fail to pay fees that are 30 or more days past due
• Engage in conduct that is abusive toward our team

Effect of termination: Upon termination, we will deactivate your voice agent. We will make your data available for export for 30 days after termination, after which it may be deleted in accordance with our Privacy Policy.

5 SMS Communications

If you opt in to receive SMS messages from AI-Voicelabs via our website contact form, the following terms apply:

• Messages are sent from +1 (888) 600-9018 using Twilio's messaging platform
• You will receive recurring automated marketing text messages after opting in
• Reply STOP at any time to unsubscribe. Reply HELP for support
• Message and data rates may apply depending on your wireless carrier plan
• Consent to receive SMS is not a condition of purchasing or receiving any services
• We use Twilio, Inc. as our SMS delivery provider. By opting in, you acknowledge that your phone number may be processed by Twilio subject to Twilio's Privacy Policy

6 AI Disclaimer & Limitations

AI-Voicelabs builds voice agents powered by artificial intelligence, including large language models (LLMs) and voice synthesis technology. You acknowledge and agree that:

• AI can be wrong. Voice agents may produce responses that are factually incorrect, outdated, inconsistent, or that fail to reflect your business's actual policies, pricing, hours, or offerings. This is an inherent limitation of current AI technology.
• AI is not infallible. The voice agents we build are designed to assist your customers, but they are not a substitute for qualified human judgment in sensitive or high-stakes situations (including but not limited to legal, medical, financial, or emergency matters).
• You are responsible for monitoring. As our client, you are responsible for periodically reviewing your voice agent's performance, accuracy, and appropriateness. We strongly recommend establishing human escalation paths for complex or sensitive calls.
• No guarantee of accuracy. We do not warrant that voice agent responses will be accurate, complete, reliable, current, or error-free at all times.
• Not professional advice. Nothing generated by our AI voice agents constitutes legal, medical, financial, or other professional advice.
• Third-party AI providers. Our voice agents may be built on top of third-party AI models (such as those from OpenAI or similar providers). The behavior of those underlying models is subject to their own limitations and terms, which are outside our direct control.

By engaging our services, you accept these limitations and agree not to hold AI-Voicelabs liable for errors, omissions, or harms caused by AI-generated content, except as expressly set out in Section 10.

7 Client Obligations

As a client of AI-Voicelabs, you agree to:

• Provide accurate and complete information needed to build and configure your voice agent
• Obtain all necessary consents from your own customers whose data your voice agent will collect or process (including any applicable TCPA, GDPR, or state law consent requirements)
• Maintain and publish your own compliant privacy policy informing your customers how their data is handled
• Use our services only for lawful purposes and in accordance with all applicable laws and regulations
• Not use our voice agents to deceive, harass, defraud, or harm any person
• Not use our voice agents to send unsolicited commercial messages in violation of applicable law (including the CAN-SPAM Act and TCPA)
• Promptly notify us of any errors, issues, or complaints related to your voice agent
• Pay all fees when due as set out in your Service Agreement

8 Intellectual Property

AI-Voicelabs IP: We retain ownership of all proprietary technology, software, frameworks, methodologies, and tools we use or develop in connection with our services. These Terms do not transfer any of our intellectual property rights to you.

Client content: You retain ownership of all scripts, business logic, brand assets, and content you provide to us for use in building your voice agent. You grant us a limited license to use this content solely for the purpose of delivering services to you.

Deliverables: Unless otherwise agreed in writing in your Service Agreement, custom deliverables (such as configured voice agents) are licensed to you for use during the term of your service, not sold outright.

Website content: All content on ai-voicelabs.com, including text, graphics, and design, is owned by ECOM3 BRANDS, LLC and may not be copied or used without our written permission.

9 Disclaimer of Warranties

10 Limitation of Liability

Our total cumulative liability to you for any claims arising from or related to these Terms or our services shall not exceed the greater of: (a) the total fees you paid to AI-Voicelabs in the 3 months immediately preceding the event giving rise to the claim, or (b) $500 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

11 Indemnification

You agree to defend, indemnify, and hold harmless AI-Voicelabs, ECOM3 BRANDS, LLC, and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our services in violation of these Terms
• Your failure to obtain required consents from your own customers
• Your violation of any applicable law or third-party rights
• Any content or instructions you provide to us for use in your voice agent
• Any claim by your customers related to your voice agent's operation

12 Dispute Resolution

Informal resolution first: Before filing any formal legal claim, you agree to contact us at hello@ai-voicelabs.com and attempt to resolve the dispute informally. We will make a good-faith effort to resolve any dispute within 30 days of receiving written notice.

Binding arbitration: If we cannot resolve the dispute informally, both parties agree to resolve it through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer or Commercial Arbitration Rules, as applicable. Arbitration will be conducted in English.

No class actions: You waive any right to participate in a class action lawsuit or class-wide arbitration against AI-Voicelabs.

Small claims exception: Either party may bring an individual claim in small claims court if the claim qualifies.

13 Governing Law

These Terms are governed by and construed in accordance with the laws of the state in which ECOM3 BRANDS, LLC is registered, without regard to its conflict of law provisions. To the extent any claim is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts in that jurisdiction.

14 Changes to These Terms

We may update these Terms from time to time. For active clients, we will provide at least 14 days' notice of material changes by email or by posting a prominent notice on our website. Your continued use of our services after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree, you may cancel your service in accordance with Section 4.
